QuerySure Software License Agreement (LSA)

1. Acceptance
By creating a QuerySure account, accepting this Agreement, or using the QuerySure platform, you acknowledge that you have read, understood, and agree to be bound by this Software License Agreement ("Agreement").
If you are accepting this Agreement on behalf of an organization, you confirm that you are authorized to bind that organization to this Agreement.
2. About QuerySure
QuerySure is an AI-powered insurance operations platform that enables organizations to manage policies, customers, renewals, reports, AI-assisted document extraction, and related business workflows.
3. License Grant
QuerySure grants the Client a limited, non-exclusive, non-transferable and non-sublicensable license to use the QuerySure platform during the active subscription period solely for its internal business operations.
This Agreement licenses the software to the Client. It does not transfer ownership of the software.
4. Deployment Models
A. QuerySure Cloud
For cloud deployments:
- QuerySure hosts and manages the platform.
- QuerySure is responsible for infrastructure, updates and maintenance.
- Client data is stored within QuerySure-managed infrastructure.
- Access is provided as a subscription service.
B. Self Hosted
For self-hosted deployments:
- QuerySure may be deployed on infrastructure owned or managed by the Client.
- Client business data remains under the Client's control.
- Deployment on Client infrastructure does not transfer ownership of the software.
- QuerySure retains ownership of all software, AI services and proprietary technology.
5. Client Data Ownership
Client Data includes, but is not limited to:
- Customer records
- Policy information
- Uploaded policy documents
- Images
- PDFs
- Reports
- Communications
- Business records
- Metadata
- Files uploaded through QuerySure
- Data generated through normal usage of the platform
Ownership of Client Data always remains with the Client.
QuerySure does not claim ownership of Client Data.
QuerySure may process Client Data solely for the purpose of providing subscribed services, product functionality, support, AI-powered features, security, backups (where applicable), and platform improvements required for normal operation.
QuerySure will never sell Client Data or claim ownership over Client business information.
Where supported by the subscribed plan, Clients may export or retrieve their own data.
This section should be read together with the QuerySure Terms of Use and Privacy Policy.
6. QuerySure Intellectual Property
QuerySure retains exclusive ownership of all intellectual property relating to the platform.
This includes, but is not limited to:
- Source code
- Application architecture
- User interface
- APIs
- AI models
- AI prompts
- Policy extraction engine
- Validation logic
- Algorithms
- Business workflows
- Licensing mechanisms
- Documentation
- Product branding
- Trademarks
- Future enhancements
- Product updates
No ownership of any QuerySure intellectual property is transferred under this Agreement.
7. Proprietary Services
Certain services may remain QuerySure-managed regardless of deployment model.
These may include:
- AI Policy Extraction
- AI Document Processing
- AI Validation
- Subscription Verification
- License Verification
- Usage Monitoring
- Future AI Services
The implementation of these services remains proprietary to QuerySure.
8. Restrictions
Unless expressly permitted in writing, the Client shall not:
- Sell, sublicense, lease or distribute QuerySure.
- Copy the software except where necessary for approved deployment or backup.
- Remove proprietary notices.
- Circumvent subscription or licensing controls.
- Attempt unauthorized access to QuerySure-managed services.
- Use QuerySure to build or support a competing software product.
- Reverse engineer or decompile the software except where such rights cannot legally be restricted under applicable law.
9. Source Code
This Agreement does not include delivery of:
- Source code
- AI models
- AI prompts
- Internal workflows
- Proprietary algorithms
- Internal automation logic
QuerySure may deploy compiled software, containers, build artifacts or managed services as appropriate.
10. Support
During an active subscription, QuerySure may provide:
- Initial deployment assistance
- Product onboarding
- Remote implementation support
- Product updates included within the subscribed plan
- Bug fixes
- Reasonable product support
Support does not include:
- Custom software development
- Infrastructure administration
- AWS administration
- Cloud billing
- Operating system maintenance
- Network administration
- Third-party service issues
11. Custom Development
Any dashboard, integration, automation, workflow, report, module or feature outside the agreed scope shall be considered Custom Development and may be quoted separately.
12. Third Party Services
Certain QuerySure features rely on third-party providers.
Examples include:
- AWS
- Cloudflare
- MongoDB Atlas
- Authkey
- WhatsApp Business API
- Email providers
- SMS providers
Applicable third-party charges remain the responsibility of the Client unless otherwise agreed.
QuerySure is not responsible for downtime, pricing changes or policies of third-party providers.
13. Subscription
Software access remains valid while the applicable subscription remains active.
Failure to renew the subscription may result in suspension of:
- Software updates
- Technical support
- Premium features
- AI services
- Future product enhancements
14. Confidentiality
Both parties agree to keep confidential information received from the other party confidential and not disclose it except where required for providing services or complying with applicable law.
15. Security
QuerySure implements commercially reasonable technical and organizational measures to protect the platform.
For self-hosted deployments, the Client remains responsible for:
- Infrastructure security
- Operating system updates
- Network security
- Backup policies
- AWS account security
- Access management
16. Limitation of Liability
To the maximum extent permitted by applicable law, QuerySure shall not be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of business or loss of data arising from use of the software.
Nothing in this Agreement excludes liability where such exclusion is prohibited by law.
17. Termination
Either party may terminate the commercial relationship in accordance with the agreed commercial terms.
Upon termination:
- The software license terminates.
- Subscription benefits cease.
- Client Data remains the property of the Client.
- QuerySure Intellectual Property remains the exclusive property of QuerySure.
18. Governing Law
This Agreement shall be governed by the laws of India.
Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan.
19. Relationship with Other Policies
This Agreement should be read together with:
- QuerySure Terms of Use
- QuerySure Privacy Policy
In the event of any conflict:
- Matters relating to software ownership, licensing and intellectual property shall be governed by this Software License Agreement.
- Matters relating to account usage shall be governed by the Terms of Use.
- Matters relating to privacy and handling of Client Data shall be governed by the Privacy Policy.
20. Changes to this Agreement
QuerySure may update this Agreement from time to time.
Where changes materially affect Client rights or obligations, reasonable notice will be provided through the platform or registered email.
Continued use of QuerySure after acceptance of updated terms constitutes acceptance of the revised Agreement.

Acknowledgement
By selecting "I Agree", you confirm that:
- You are authorized to accept this Agreement on behalf of your organization.
- You have read and understood this Agreement.
- You agree to be legally bound by this Agreement.
- You understand that QuerySure is proprietary software licensed—not sold.
- You acknowledge that your business data belongs to you, not QuerySure.
- You acknowledge that QuerySure software, AI services, source code, architecture, workflows, licensing mechanisms and all associated intellectual property remain the exclusive property of QuerySure.
